Terms and Conditions
This "Service Agreement" (this "Agreement") is a binding contract between ("Customer," "you," or "your") and MarketDental, Inc. ("MarketDental," "we," or "us"). This Agreement, along with our Terms and Conditions and Privacy Policy governs your access to and use of the Services.
THIS AGREEMENT TAKES EFFECT WHEN YOU CLICK THE “I ACCEPT” BOX, SUBMIT THE ASSOCIATED ORDER FORM OR BY ACCESSING OR USING THE SERVICES (the "Effective Date"). BY SIGNING THE ASSOCIATED ORDER FORM OR BY ACCESSING OR USING THE SERVICES YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THITermS AGREEMENT AND, IF ENTERING INTO THIS AGREEMENT FOR AN ORGANIZATION, THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ORGANIZATION; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT SUBMIT THE ORDER FORM OR ACCESS THE SERVICES. IF YOU DO NOT ACCEPT THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

Automatic Renewal
If the "Payment Schedule" of this agreement specifies a minimum twelve-month "Term Service," the agreement will automatically renew on a month-to-month basis unless either party gives written notice of non-renewal at least 30 days prior to the end of the current term. Any changes to the terms and conditions of this contract must be agreed upon in writing by both parties prior to the start of the renewal term.

Early Cancellation for Term Service(s)
If you cancel a Term Service(s) before the end of its term, you will be charged the regular rate for that service, calculated based on the remaining time under the agreement. For example, if you cancel the "Full Marketing Suite Package" that includes an "Unlimited Website Package" in the sixth month of a twelve-month term, you will be charged 1/2 of the regular rate of the "Unlimited Website Package".

Term and Termination.
3.1. Term
The term of this Agreement begins on the Effective Date and continues until terminated. Services that are specified to automatically renew will renew for up to 1 additional successive 1 year terms unless earlier terminated pursuant to this Agreement's express provisions or either party gives the other party written notice of non-renewal at least 30 days prior to the expiration of the then-current services period.
3.2. Termination
In addition to any other express termination right set forth in this Agreement:
MarketDental may terminate this Agreement, for any reason upon thirty (30) days' advance notice.
either party may terminate this Agreement and all agreements incorporated by reference, effective on written notice to the other party, if the other party materially breaches this Agreement, and such breach: (A) is incapable of cure; or (B) being capable of cure, remains uncured 30 days after the non-breaching party provides the breaching party with written notice of such breach; or
either party may terminate this Agreement, effective immediately upon written notice to the other party, if the other party: (A) becomes insolvent or is generally unable to pay, or fails to pay, its debts as they become due; (B) files or has filed against it, a petition for voluntary or involuntary bankruptcy or otherwise becomes subject, voluntarily or involuntarily, to any proceeding under any domestic or foreign bankruptcy or insolvency law; (C) makes or seeks to make a general assignment for the benefit of its creditors; or (D) applies for or has appointed a receiver, trustee, custodian, or similar agent appointed by order of any court of competent jurisdiction to take charge of or sell any material portion of its property or business.

Auto-Pay Policy
By signing this Service Agreement, I understand and agree to the terms set forth in this agreement, agree to pay, and specifically authorize to charge my credit card for the services provided. I further agree that in the event my credit card becomes invalid, I will provide a new valid credit card upon request, to be charged for the payment of any outstanding balances owed.
Services are billed on a month-to-month basis. Billing cycle starts with the 1st day of the month through the last day of month. The charge on your credit will be taken on the 1st day of the month. Applicable taxes are additional.
All payments made with a credit card will appear on your statement as MARKETDENTAL*(transaction ID).
Even if your credit card expired, your bank may have automatically transferred your Auto-Pay payments to your new credit card. Therefore, even if the credit card you were using for MarketDental is no longer active, you can still be charged.

Payment Schedule and Cancellation
"Customer" agrees to pay the first payment upon signing this agreement, and the remaining 11 payments will begin after the new website is launched. If research, resource allocation, design, mock-ups, or coding work has commenced on a project, the first payment is non-refundable. In the case of a change of mind by “Customer” this deposit is non-refundable.

Fees and Late Payment
Fees and charges associated with your services may change from time to time in accordance with our terms of service applicable to all our customers. You will be notified in advance of any increase. Amounts owing after the monthly due date are subject to a late payment interest charge calculated on the outstanding amount at 3% per month until paid in full.

Pay-Per-Click Campaigns
MarketDental will facilitate the setup and management of PPC campaigns on behalf of Customers. MarketDental will work with reputable PPC platform providers, such as Google, Meta, and others ("Providers"), to create and optimize Customers' campaigns based on the agreed-upon strategy.
MarketDental will establish payment methods and settings within the PPC platform to enable Customers to pay for their campaigns. However, it is important to note that MarketDental is not responsible for any financial transactions, including charges, refunds, or cancellations, made by the Providers.
7.1. Payment Obligations
Customers are solely responsible for the payment of all charges associated with their PPC campaigns directly to the Providers. Customers shall provide accurate payment information and authorize the Providers to charge their chosen payment method for the PPC campaign expenses.
MarketDental will assist Customers in setting up and configuring the payment details within the PPC platform, including linking payment methods, but MarketDental does not process or handle any financial transactions directly. Customers acknowledge that any issues related to payments, including declined transactions, failed payments, or other financial matters, are the sole responsibility of the Customers.
In the event that a payment is declined or fails, Customers understand that their PPC campaign may be interrupted or suspended by the Providers. MarketDental shall not be held liable for any losses, damages, or negative consequences arising from such payment failures or campaign interruptions.
7.2. Campaign Performance and Optimization
MarketDental will use its best efforts to optimize Customers' PPC campaigns based on the agreed-upon objectives, budget, and targeting parameters. However, MarketDental cannot guarantee specific results or performance levels of the PPC campaigns, as they are subject to various factors beyond MarketDental's control, including market conditions and user behavior.
Customers acknowledge that the success or failure of their PPC campaigns is dependent on factors such as bid strategies, ad quality, landing page experience, keyword selection, and competition. MarketDental will provide recommendations and insights to enhance campaign performance, but ultimate decision-making authority regarding campaign management rests with the Customers.

Licenses and Rights
All layout design, illustrations and coding are created under a work-for-hire basis, with all ownership and rights belonging to the client. Custom programming sub-routines and back-end modules - for example the CMS (content management system) are the property of MarketDental; however, we grant a perpetual license to the client to use the software, but not to resell to other licensees.

Limited Warranty and Warranty Disclaimer
MarketDental warrants that the Services will conform in all material respects to the Service Agreement when accessed and used by Customer in accordance with the Documentation. MarketDental does not make any representations or guarantees regarding uptime or availability of the Services unless specifically identified in the Service Agreement. THE FOREGOING WARRANTY DOES NOT APPLY, AND MARKETDENTAL STRICTLY DISCLAIMS ALL WARRANTIES, WITH RESPECT TO ANY THIRD-PARTY PRODUCTS.
9.1. Customer Warranty
You warrant that you own all right, title, and interest, including all intellectual property rights, in and to Customer Data and that both the Customer Data and your use of the Services are in compliance with the Service Agreement.
9.2. Disclaimer of Warranties
EXCEPT FOR ANY LIMITED WARRANTY PROVIDED ELSEWHERE IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND MARKETDENTAL SPECIFICALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MARKETDENTAL SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. MARKETDENTAL MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET YOUR OR ANY OTHER PERSON'S OR ENTITY'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OF YOUR OR ANY THIRD PARTY'S SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

Disk Quota for Web Hosting and Email Accounts
MarketDental will provide disk quota for each account. The storage space varies according to the selected plan. In the event that the Customer exceeds its allotted disk space, MarketDental shall notify the Customer to delete the additional files and the Customer agrees to delete such additional files or pay supplemental charges for additional disk space.

Back-Up Data and Disaster Recovery
We do offer complimentary backups for our customers. They are created on a daily, weekly and monthly basis. These backups are not guaranteed in any way. MarketDental shall not be responsible for files that cannot be recovered due to corrupt data, fires or any other disaster or event not in control of MarketDental.

HIPAA and PIPEDA Compliance
MarketDental acknowledges its obligations under the Health Insurance Portability and Accountability Act (HIPAA) and the Personal Information Protection and Electronic Documents Act (PIPEDA) to protect the privacy and security of personal health information. We agree to implement appropriate safeguards to prevent unauthorized use or disclosure of such information. However, you are responsible for ensuring that any data you provide complies with these laws.

Confidentiality and Data Security
MarketDental will maintain the strictest confidence with respect to any client's or former client's information. Except for information that is in or enters the public domain, we will not disclose any confidential information to third parties without your consent, unless required by law. Despite our efforts to secure data, we cannot guarantee absolute protection and disclaim liability for breaches that occur despite our safeguards.

Risks Associated with Online Communications
MarketDental employs reasonable measures to secure all forms of online communication; however, we cannot guarantee that transmissions—whether via email, messaging platforms, or other electronic means—are completely secure, free from interception, or without errors. Such communications may be intercepted, accessed by unintended third parties, corrupted, lost, delayed, or compromised by viruses or other issues.
Accordingly, we specifically disclaim and waive any liability for unauthorized access, interception, unintentional disclosure, or any other issues related to online communication, including any resulting losses, damages, or consequences. This includes, but is not limited to, financial losses, the disclosure of confidential information, or any direct, indirect, incidental, or special damages. By using these communication methods, you agree to assume all associated risks.

Liability in the Event of Data Breach
MarketDental takes no responsibility for data breaches caused by events beyond our control, such as hacking, malware, or other malicious activities. In the event of a breach, we will notify affected parties as required by law and will cooperate with investigations. However, we disclaim liability for any damages, losses, or expenses incurred as a result of a data breach.

Read and Understood
Each Party acknowledges that it has read and understands this Agreement and agrees to be bound by its terms and conditions.
